Terms of Service

These terms are an agreement between Bextin LLC (“Bextin,” “we”), a [STATE] limited liability company, and the business that signs up for Bextin (the “Business”). Anyone who creates a manager account agrees to these terms on the Business's behalf and confirms they are at least 18 and allowed to do so. Team members who receive texts are also covered by our Texting terms.

1. What Bextin is

Bextin is a tool for a Business to communicate with its own employees and team members by text message and web: messages, notices, and questions such as shift coverage requests. It is not a scheduling, payroll, or customer messaging service.

2. The Business's responsibilities

The Business is responsible for how it uses Bextin, and agrees that it will:

• Add only its own employees and team members, using mobile numbers they have provided to the Business.
• Send only work-related messages to its team.
• Never use Bextin to text customers, clients, or the public, or to send marketing, advertising, or promotional messages.
• Never send content that is unlawful, harassing, threatening, hateful, sexually explicit, or deceptive.
• Never send sensitive information by text, such as Social Security numbers, bank or card numbers, passwords, or medical information.
• Respect opt-outs. Bextin stops texts to anyone who replies STOP, and the Business will not try to get around that.
• Provide accurate business information, including its legal name, tax ID, website, and address, and keep it up to date.
• Follow all laws that apply to its messages and its workplace, including laws on text messaging and employee privacy.
• Keep manager logins secure and be responsible for everything done under its manager accounts.

3. Texting registration

U.S. mobile carriers require each business that sends texts to be registered. Bextin submits that registration on the Business's behalf using the information it provides. Approval is decided by the carriers and their registry, not by Bextin, and can take several business days. Registration fees charged by carriers or their registry are non-refundable, even if registration is rejected. Texts cannot be sent until registration is approved.

4. Fees

The Business agrees to pay the fees shown when it signs up or as later agreed, including any setup fee. Applicable taxes, such as sales or gross receipts tax, may be added. Unless stated otherwise, fees are billed in advance and are non-refundable. We will give notice before changing prices.

5. The Business's data

The Business owns the information it and its team put into Bextin. The Business gives Bextin permission to store and process that information only as needed to provide and improve the service, as described in our Privacy Policy. The Business is responsible for having the right to share its team members' information with us.

6. Acceptable use

No one may use Bextin to:

• Send spam or messages to people who have not agreed to receive them.
• Break the law or anyone else's rights.
• Try to access other businesses' data, break or test our security, or overload the service.
• Copy, resell, or reverse engineer the service.

7. Suspension and ending the service

The Business may stop using Bextin at any time. We may suspend or end an account if these terms are broken, if a carrier or our texting provider requires it (for example, after spam complaints), if fees go unpaid, or to protect people or the service. Where reasonable, we will give notice first. After an account ends, we may delete its data, except records we need to keep for legal or carrier reasons.

8. Availability and delivery

We work to keep Bextin running, but we don't promise it will always be available or error-free. Text messages are delivered by mobile carriers, and delivery can be delayed, filtered, or fail for reasons outside our control. Do not rely on Bextin for emergencies or safety alerts.

9. Disclaimers

Bextin is provided “as is” and “as available.” To the extent the law allows, we disclaim all warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Limit of liability

To the extent the law allows, Bextin will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Bextin's total liability for any claim related to the service is limited to the amount the Business paid Bextin in the 12 months before the claim.

11. The Business's responsibility for its messages

The Business will defend and hold Bextin harmless from claims, fines, and costs (including reasonable legal fees) that arise from the messages it sends, the people it adds, or its breaking these terms or the law.

12. Changes to these terms

We may update these terms. If a change is important, we will update the date above and notify managers before it takes effect. Continuing to use Bextin after that means the Business accepts the new terms.

13. Governing law

These terms are governed by the laws of the State of [STATE], without regard to its conflict of law rules.
